Terms of Service

1. Definitions

For these Terms, "Account" means the account used to access Waystead; "Bookmark Data" means bookmark titles, URLs, folder paths, order, versions, and related changes; "Browser" means a supported browser in which the Waystead extension is installed; "Service" means the Waystead website, browser extensions, account services, synchronization features, and related services; and "you" means the individual or entity using the Service.

2. Acceptance and Eligibility

You must meet the minimum legal age required to use the Service. If applicable law permits a person below that age to use the Service with permission from a parent or legal guardian, that permission is required. The Service is not directed to children.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms apply to both free and paid use of the Service. Your use of the Service is also subject to the Privacy Policy and any additional terms presented for a particular feature or purchase.

3. Description of the Service

Waystead provides tools for backing up and synchronizing bookmark bars across Browsers connected to the same Account. The Service may compare Bookmark Data, present proposed merge results, apply confirmed changes, identify conflicts, and maintain versions used for synchronization and recovery.

Features and availability may vary by Browser, operating system, plan, release stage, or technical capability. Information displayed by the Service at the time you connect a Browser or use a feature forms part of the applicable product instructions.

4. Accounts and Authentication

You may need an Account to use some or all of the Service. Sign-in may be provided through email or supported third-party authentication providers.

You must provide accurate and current Account information, safeguard access to your Account, and promptly notify us if you suspect unauthorized access. You are responsible for activity conducted through your Account unless applicable law provides otherwise.

5. Browser Extensions and Third-Party Platforms

The Waystead extension requires permission to read and update the bookmark bar you connect. You are responsible for reviewing the permissions displayed by your Browser before installation.

Browsers, extension stores, authentication providers, payment providers, and other third-party platforms are operated under their own terms and policies. We do not control those platforms and are not responsible for changes, restrictions, outages, or actions caused solely by them.

6. Bookmark Data and User Content

You retain your rights in the Bookmark Data and other content you provide through the Service.

You grant Waystead a limited, non-exclusive, worldwide license to host, store, copy, process, compare, merge, transmit, and display Bookmark Data only as reasonably necessary to operate, secure, maintain, and support the Service, comply with law, and enforce these Terms.

You represent that you have the rights necessary to provide the content you synchronize and that your content and use of the Service do not violate applicable law or the rights of another person.

7. Synchronization, Merging, Backup, and Export

When a new Browser is connected, the Service may compare its Bookmark Data with the existing cloud version and require you to review a proposed merge before changes are applied. You are responsible for reviewing merge summaries, conflicts, recovery previews, and other confirmation screens before proceeding.

Synchronization, cloud backup, and version history are designed to reduce the risk of accidental loss or overwriting, but they do not guarantee that Bookmark Data will never be lost, duplicated, corrupted, delayed, or changed unexpectedly.

You may export a copy of your Bookmark Data in a commonly used, machine-readable format through the available Account tools. Where required by applicable law, we will provide a reasonable opportunity to retrieve eligible Bookmark Data after termination, unless retaining access would create a security risk or violate law. You should maintain an independent copy of any data that is especially important to you.

8. Acceptable Use

You may use the Service only for lawful purposes. You may not:

• use the Service or Bookmark Data in a way that violates law or another person's rights
• attempt to gain unauthorized access to an Account, Browser connection, system, or network
• interfere with synchronization, security, availability, or the use of the Service by others
• introduce malware, malicious code, or content intended to exploit the Service or a connected system
• create Accounts through unauthorized automation, evade plan limits, or abuse product quotas
• scrape, reverse engineer, decompile, or bypass technical restrictions except where applicable law expressly permits it
• resell, sublicense, or provide the Service to third parties unless we have agreed otherwise in writing

9. Free and Paid Services

Waystead may offer free and paid plans. Before you purchase a paid plan, we will provide clear and conspicuous notice of the material terms, including the included features, price, currency, billing frequency, trial or promotional conditions, whether the plan renews automatically, the renewal price or how it will be determined, taxes, and how to cancel.

We will obtain your affirmative consent before charging you for an automatically renewing subscription. Unless the purchase screen states otherwise, paid subscriptions renew for successive periods of the same length until cancelled. Where required by law, we will send renewal, trial-ending, price-change, or other notices before the applicable charge or change.

You may cancel an online subscription through a straightforward online method available from your Account or by another method presented at purchase. Cancellation takes effect at the end of the current paid billing period unless applicable law or the purchase terms provide an earlier date. Cancelling a subscription stops future renewal but does not automatically delete your Account or Bookmark Data.

Payments may be processed by a third-party payment provider under its own terms. Refunds, credits, and statutory withdrawal rights will be provided where required by applicable law or expressly stated at purchase. Nothing in these Terms limits any non-waivable right to cancel, withdraw from a purchase, or receive a refund.

10. Privacy and Data Protection

Our Privacy Policy explains what personal information the Service processes, the purposes and legal bases for processing, retention, disclosures, international transfers, and the rights and choices available to you. The Privacy Policy is a separate notice and does not make consent a condition where another legal basis applies.

No online service can guarantee absolute security. You are responsible for maintaining reasonable security for your Account, devices, Browsers, and authentication methods.

11. Intellectual Property and Feedback

Except for Bookmark Data and other content provided by users, the Service and its software, interface, documentation, brand assets, and other materials are owned by Waystead or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, you receive a limited, non-exclusive, non-transferable, revocable right to use the Service. If you provide feedback or suggestions, we may use them without restriction or compensation, but we are not required to implement them.

12. Service Availability and Changes

We may add, change, limit, suspend, or discontinue features or parts of the Service. We may temporarily interrupt access for maintenance, upgrades, security, technical problems, or circumstances outside our reasonable control.

If a change materially reduces a paid feature during a prepaid term, we will provide advance notice where reasonably possible and offer any remedy required by applicable law, which may include the right to cancel or a proportionate refund. We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

13. Suspension, Termination, and Account Deletion

We may restrict, suspend, or terminate access if you materially or repeatedly violate these Terms, create a legal or security risk, abuse the Service, fail to pay applicable fees, or if we are required to do so by law. Where reasonable and legally permitted, we will provide notice and an opportunity to remedy a breach before termination. We may act immediately when necessary to protect users, the Service, or third parties, or to comply with law.

You may stop using the Service at any time. Available tools let you delete your Waystead cloud Bookmark Data, version history, conflicts, and Browser connections. This keeps your Account and subscription and does not delete bookmarks stored locally in your Browsers.

If we terminate a paid Service for reasons other than your breach, we will provide any refund or other remedy required by applicable law. Termination does not affect rights or obligations that accrued before termination.

Provisions that by their nature should continue after termination, including ownership, disclaimers, liability limitations, indemnification, and general provisions, will survive termination.

14. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available." We disclaim warranties that may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not warrant that synchronization will always complete, that every Browser or change will be supported, that conflicts will always be detected automatically, or that Bookmark Data will never be lost or altered. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Waystead and its service providers, licensors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.

To the maximum extent permitted by applicable law, the aggregate liability of Waystead and its service providers, licensors, affiliates, and representatives for claims arising out of or relating to a paid Service will not exceed the amount you paid for that Service during the 12 months before the event giving rise to the claim.

These limitations do not apply to liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, breach of obligations that cannot lawfully be limited, or any other liability that applicable law does not permit us to exclude or limit. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

16. Indemnification

If you use the Service on behalf of a business or organization, that business or organization will, to the extent permitted by law, defend and indemnify Waystead and its affiliates, service providers, licensors, and representatives against third-party claims, losses, liabilities, and reasonable expenses arising from its unlawful use of the Service, its content, or its material violation of these Terms. This section does not impose an indemnity on an individual consumer where doing so would be prohibited or unfair under applicable law.

17. Resolving Disputes

Before starting formal proceedings, you and Waystead agree to make a reasonable effort to resolve a dispute through the Contact Us channel.

This informal process does not prevent either party from seeking urgent relief, using an available small-claims procedure, reporting a matter to a regulator, or exercising a right that cannot lawfully be restricted.

18. Consumer Rights

If you use the Service as a consumer, you retain all mandatory rights under the laws of your place of residence. Nothing in these Terms excludes, restricts, or waives a consumer right, statutory warranty, remedy, cancellation right, or withdrawal right that cannot lawfully be excluded, restricted, or waived.

Nothing in this section creates a right that does not otherwise apply to your purchase, and any more favorable mandatory local rule will control.

19. General Provisions

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.

You may not assign these Terms without our prior written consent. Waystead may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, subject to applicable law.

We are not responsible for delay or failure caused by events beyond our reasonable control. These Terms, together with the Privacy Policy and any additional terms presented for a feature or purchase, form the entire agreement concerning the Service and replace prior agreements on the same subject.

20. Changes to These Terms

We may update these Terms to reflect changes to the Service, law, security, or business practices. We will publish the revised Terms and update the "Last updated" date. If a change is material, we will provide any additional notice required by law before it takes effect.

Where applicable law requires your consent to a change, the change will not apply unless you consent. Otherwise, your continued use of the Service after revised Terms take effect means that you accept them. If you do not accept revised Terms, you may stop using the Service and cancel any affected subscription before the change takes effect.
